Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at gridhooks.com, the GridHooks client portal, and any free tools or content we make available (collectively, the "Services"). The Services are provided by GridHooks ("GridHooks", "we", "us", or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Definitions

  • "Services" — the Site, the client portal, and any free tools, content, or resources we provide.
  • "Content" — text, graphics, designs, logos, code, and other materials made available through the Services.
  • "Client Engagement" — a paid engagement for professional services governed by a separate written agreement.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. The Site and free tools

We provide the Site and any free tools (such as those in our Lab) for general informational purposes and on an "as is" and "as available" basis. We may add, change, suspend, or discontinue any part of the Services at any time without notice. We do not guarantee that the Services will be uninterrupted, error-free, or secure.

4. Client portal accounts

Access to the client portal is by invitation. If you are given an account, you agree to provide accurate information, keep your credentials confidential, and remain responsible for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or pose a security risk.

5. Acceptable use

You agree not to:

  • Use the Services for any unlawful, harmful, or fraudulent purpose.
  • Attempt to gain unauthorized access to the Services, accounts, or systems.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Probe, scan, or test the vulnerability of the Services without our written permission.
  • Scrape, harvest, or collect data from the Services using automated means without our consent.
  • Introduce malware or any malicious or disruptive code.
  • Reproduce, resell, or exploit any part of the Services except as expressly permitted.

6. Intellectual property

The Services and all Content, including the GridHooks name, logo, and design, are owned by GridHooks or our licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. You may not copy, modify, distribute, or create derivative works from the Content without our prior written permission. All rights not expressly granted are reserved.

7. Feedback and submissions

If you send us feedback, ideas, or suggestions about the Services, you grant us a worldwide, royalty-free, perpetual license to use them without restriction or compensation. You are responsible for any information you submit and represent that you have the right to share it.

8. Professional services

Information on the Site — including descriptions of services, case studies, and any pricing references — is for general information only and does not constitute an offer or a binding commitment to provide services. Any Client Engagement is governed by a separate written agreement (such as a master services agreement and statement of work) that covers scope, deliverables, ownership, fees, timelines, and warranties. In the event of a conflict, that agreement controls over these Terms with respect to the engagement.

9. Third-party services and links

The Services may integrate with or link to third-party websites, products, or services that we do not control. We are not responsible for their content, policies, or practices, and your use of them is at your own risk and subject to their terms.

10. Communications

By submitting a form or subscribing, you consent to receive communications related to your request and, where you opt in, our newsletter. You can unsubscribe from marketing emails at any time using the link in each email or by contacting us. We may still send you transactional or service-related messages.

11. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT AND FREE TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ACCURATE, RELIABLE, UNINTERRUPTED, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GRIDHOOKS AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. (Liability arising from a Client Engagement is governed by that engagement's agreement.)

13. Indemnification

You agree to indemnify and hold harmless GridHooks and its personnel from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Services or your violation of these Terms or applicable law.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms or if we discontinue the Services. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

15. Governing law and disputes

These Terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict-of-laws rules. Before filing a claim, you agree to first contact us at hello@gridhooks.com and attempt to resolve the dispute informally. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in North Carolina, and you consent to personal jurisdiction there.

16. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after changes take effect means you accept the updated Terms.

17. Miscellaneous

These Terms, together with any agreement governing a Client Engagement and our Privacy Policy, are the entire agreement between you and GridHooks regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for any delay or failure caused by events beyond our reasonable control.
